Terms of service

1. Service provider

Compass ("the Service") is published and operated by Thinqbase GmbH, a limited liability company under Swiss law ("we", "our"). By using the Service, you enter into a contract with Thinqbase GmbH.

2. Acceptance of terms

By creating an account or using the Service, you unconditionally accept these terms. If you act on behalf of an organisation, you warrant that you have authority to bind that organisation.

3. Description of the Service

Compass is a web-based accounting application for Swiss SMEs and trustees: chart of accounts, VAT returns, ISO 20022 QR-bills, CO reports, bank reconciliation and receipt storage.

4. User account

  • You must provide accurate information and keep it up to date.
  • You are responsible for the confidentiality of your credentials and for all activity on your account.
  • You must be of legal age or act on behalf of a legally constituted entity.

5. Acceptable use

You agree not to:

  • use the Service for illegal, fraudulent or abusive purposes;
  • infringe the intellectual property rights of third parties;
  • attempt to compromise the security of the Service (intrusion, malware, mass scraping, circumvention of technical limits);
  • resell, redistribute or reverse-engineer the Service.

6. Intellectual property

The Service, its code, brand, interface and documentation remain the exclusive property of Thinqbase GmbH. You are granted a limited, non-exclusive, non-transferable licence to use it for the duration of your subscription.

7. Your data

You retain ownership of the accounting data you enter or import. You grant us a strictly limited licence to host and process it for the purpose of providing the Service. See our Privacy policy.

8. Payment, subscription and billing

Order processing is handled by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: Paddle handles payment, billing, VAT and transaction-related customer service as well as returns.

Purchase terms (payment, renewal, billing, taxes, cancellation and refund) are governed by Paddle's Buyer Terms. Subscriptions are annual and renew automatically unless cancelled before the due date. See also our Refund policy.

9. Service availability

We make every effort to ensure the availability of the Service, but do not guarantee uninterrupted or error-free operation. Maintenance operations may cause temporary unavailability.

10. Suspension and termination

We may suspend or terminate your access in case of: material breach of these terms, non-payment, security or fraud risk, or repeated or serious violations of our usage rules. At the end of the subscription, you have a reasonable window to export your data before deletion.

11. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is", without any implied warranty of merchantability or fitness for a particular purpose. Our total liability is limited to the amounts actually paid during the 12 months preceding the triggering event. Indirect or consequential damages (loss of profits, data or customers) are excluded. Exclusions do not apply in cases of wilful misconduct, gross negligence, personal injury or death where prohibited by law.

12. Indemnification

You indemnify us against any third-party claim arising from your content, your unlawful use of the Service or a breach of these terms.

13. Force majeure

Neither party is liable for a failure caused by an event reasonably beyond its control.

14. Changes

We may update these terms. Material changes will be notified to you by email or via the application before they take effect.

15. Governing law and jurisdiction

These terms are governed by Swiss law. Any dispute shall be submitted to the competent jurisdiction of the registered office of Thinqbase GmbH, subject to mandatory consumer protection rules.
